legal · draft
Working draft — pending legal review. Not yet in force, and not legal advice. These draft terms cover the LazyToken cloud service (Free and Pro plans). Self-hosted enterprise deployments are governed by a separate agreement. Every section below carries a review marker until counsel signs off.
By creating an account, checking the consent box at sign-up, or using the LazyToken cloud service (the "Service") operated by Tzedek Media Ltd. ("LazyToken", "we", "us"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. We may update these Terms; material changes will be announced with reasonable advance notice, and continued use after the effective date constitutes acceptance.
The Service consists of (a) the ltk agent, which filters AI coding agents' terminal output locally on your machine, and (b) a hosted dashboard showing token-savings metrics for enrolled devices. The Free plan is for individual, personal use. The Pro plan adds paid features as described at the time of purchase.
4.1 What the agent transmits. The agent transmits only numeric counters and a tool name. The complete schema per record: a timestamp, the first word of a command (max 32 characters, no spaces — arguments cannot be carried), a coarse category, the AI coding agent in use, raw and filtered token counts, filter timing, and an optional salted project hash. Envelope: device id and agent version. See the privacy page for the full breakdown.
4.2 What the Service never collects — enforced commitment. We commit that the Service never collects, transmits, or stores: source code (files, snippets, or diffs); command arguments; file paths, filenames, or directory names; command or terminal output; environment variables; secrets, credentials, prompts, model responses, keystrokes, screen contents, or clipboard contents. This exclusion is enforced in code by a payload allowlist: an automated allowlist test on the agent blocks any change that would add a field, and the server's strict schema rejects any request containing an unknown field rather than silently stripping it.
4.3 Aggregated, anonymized usage data. You grant LazyToken the right to use aggregated, anonymized usage data — consisting solely of tool names and numeric counters as described in Section 4.1 — to improve, operate, and secure the product; to build cross-organization benchmarks (e.g., typical savings rates per tool or per coding agent); and to generate recommendations (e.g., which commands offer further savings). Aggregated data never identifies you, your device, or your organization, and — by construction of the schema — cannot contain code, arguments, paths, output, or environment variables.
You agree not to: (a) circumvent the Service's authentication, rate limits, or plan restrictions; (b) probe, scan, or attack the Service except under a coordinated disclosure process; (c) use the Service to violate law or third-party rights; (d) resell or offer the Free plan as a service to others; (e) submit fabricated metric data intended to distort benchmarks; (f) interfere with other users' use of the Service. We may suspend accounts that violate this section.
The Service, including the dashboard, server software, and proprietary agent modules, is owned by Tzedek Media Ltd. The on-workstation filtering engine incorporates open-source software under the Apache License 2.0; applicable notices ship with each release. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service and agent for their intended purpose during your subscription; no other rights are granted.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING: TOKEN-SAVINGS FIGURES (INCLUDING "UP TO 60–90%") ARE INDICATIVE, VARY BY WORKLOAD, AND ARE NOT GUARANTEED; AND THE CONTEXT FIREWALL IS A RISK-REDUCTION MEASURE, NOT A GUARANTEE THAT NO SECRET WILL EVER REACH A MODEL PROVIDER.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. LAZYTOKEN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS CAPPED AT THE FEES YOU PAID TO LAZYTOKEN IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (FOR FREE ACCOUNTS: USD 50). NOTHING IN THIS SECTION EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
These Terms are governed by the laws of [JURISDICTION — placeholder], without regard to conflict-of-laws rules. The courts of [VENUE — placeholder] have exclusive jurisdiction, subject to any mandatory consumer-protection rights in your country of residence.
These Terms plus the Privacy Policy are the entire agreement for the cloud Service. If any provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Contact: hello@lazytoken.org.
